1. Agreement to Terms

By accessing or using the Parley application ("Service") operated by Second Chimes AB ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service.

2. Description of Service

Parley is a personal journaling application that uses artificial intelligence to provide conversational interactions and insights. The Service is designed to help users reflect on their thoughts and experiences through guided conversations and AI-assisted analysis.

3. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized access to or use of your account.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use the Service for any illegal or unauthorized purpose
• Transmit any viruses, worms, defects, or any items of a destructive nature

5. Content and Privacy

Your journal entries are stored locally on your device. We do not have access to or store your personal journal content on our servers. You retain all rights to the content you create within the application.

The AI interactions are processed to provide you with insights and responses, but the actual content of your journals remains private and under your control.

6. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Second Chimes AB and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

7. Apple App Store Terms

If you access the Service through the Apple App Store, you acknowledge and agree that:

• These Terms are between you and Second Chimes AB only, not with Apple
• Apple has no obligation to furnish any maintenance and support services with respect to the Service
• Apple is not responsible for addressing any claims relating to the Service
• Apple is not responsible for addressing any third-party claim that the Service infringes intellectual property rights
• Apple and its subsidiaries are third-party beneficiaries of these Terms

8. Subscription and Payment

Some parts of the Service may be billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle").

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service. You further agree to promptly update account and payment information so that we can complete your transactions.

All purchases are non-refundable except as required by law or as explicitly stated in our refund policy.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of Liability

IN NO EVENT SHALL SECOND CHIMES AB, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Second Chimes AB and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

12. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
